Terms & Conditions:
1. Indus Webpro requires 50% of the total amount due before starting work on a custom web site design, custom development or other customization service. The remaining balance must be paid upon completion of the project or 30 days after beginning the project, whichever comes first, regardless of project status.
2. All content is to be provided by the Client unless otherwise arranged during the quote process.
3. Any Contract does not hold Indus Webpro responsible for any data entry, web hosting or custom artwork/graphics related work/tasks unless otherwise specifically mentioned, paid for and agreed to by both the parties towards such. Any artwork, images, or text supplied and/or designed by Indus Webpro on behalf of the client, will remain the property of Indus Webpro and/or its suppliers unless otherwise agreed.
4. Indus Webpro will only use materials that are in accordance with copyright laws and the Client will not provide material to Indus Webpro for use that violates such laws.
5. Indus Webpro shall not be held liable for the accuracy of any information supplied by the Client and contained in Client's website/software or produced by Indus Webpro with information provided by the client.
6. Indus Webpro will be given final approval of a design by the Client before developing the web site. Changes to the design after approval has been given and development has begun are not included in the initial agreement and are therefore billed thereafter.
7. Indus Webpro will provide the Client an opportunity to review the appearance and content of the Website during the design and once they are completed. Indus Webpro shall wait for a period of 7 days to hear any feedback on such shared work/outputs from the client. In the event of client not reply within this period, such material will be deemed to have been automatically accepted and approved by the Client.
8. Indus Webpro and Client shall agree to a schedule of deadlines before commencing work on a project. Meeting project deadlines will be dependent on the provision of content/information for the project by the Client. Failure by Client to provide content/information promptly will result in the project deadline being re-scheduled.
9. While Indus Webpro will do its best to achieve all deliveries within the estimated time, there may, at times, be the need to extend or adjust time in cases of any unavoidable and non-forecasted situations like those of deployment issues, dependencies, 3rd-Party support, development bottlenecks, resource unavailability due to emergency, communication delays and the like.
10. The cost estimates agreed upon by Indus Webpro and Client are based on the requirements specified in the accepted proposal. Any change in the requirements or delays in communication will have a direct impact on the cost of the project.
11. All payments to Indus Webpro are non-refundable.
12. On the agreed completion date or milestone, the Client will be invoiced for the agreed fees as detailed in the Proposal or discussed through any communication.
13. In case any invoice is overdue for more than 10 days, Indus Webpro reserves the right to stop work without any further communication.
14. A cancellation fee may be charged if the Customer cancels the Service prior to completion. The fee will be equal to the amount of work completed at the point of cancellation.
15. Indus Webpro will not give out Client’s confidential information, including but not limited to names, addresses and trade secrets. Indus Webpro agrees to take reasonable precautions to prevent unauthorized disclosure of confidential information.
Support & Handover of The Project
16. UAT period will be provided in advance and Client/Users should do a proper testing in this duration. No feedback will be entertained after the UAT period is completed. All the feedback other than bugs will be considered as an Enhancements (chargeable) if provided after the UAT period is over.
· Please provide the list of feedback wherever and whenever applicable and refrain from sending one Bug/Feedback at a time.
· If all the queries are not resolved during the given UAT time then we will be allowed to extend the UAT period, however, UAT period will not be extended if testing was delayed from Client/Users end.
17. Bugs/Feedback should be raised by sending email to us. We always prioritise feedback and bugs provided by the customers, however, there might be a delay in resolving the queries during non working days/hours. Please refrain from raising issues on WhatsApp or Call as that might delay the resolution time.
18. Code will be released to the production environment only after UAT period is over to avoid discrepancies and data loss. Client/Users should do all the testing/demo on Development version only. Please don't ask to release the half developed Code/Website on the LIVE environment. We will not be able to do this in any circumstances.
19. Free technical support (for Bugs only) is available for first 30 days after - UAT period is over or Code/Website is moved to the LIVE environment (whichever happens earlier). All the support incident will has to be paid by the Client according to the incident or monthly rate as applicable.
20. After one month of free service, we charge according to our various price packages best-suited to client's requirement. We also provide attractive discounts if the client chooses a higher price package. The scope of support only includes any bug fixing and email support and excludes any issues related to the site architecture, rule changes, and add-ons/enhancements.
21. No guarantees or warranties shall be provided by Indus Webpro for the accuracy or performance of such 3rd-Party product/service.
22. Any upgrade in the 3rd-Party product/service being used in the project shall not be part of scope at Indus Webpro. Such shall be addressed per feasibility and revision of price and time may be called for by Indus Webpro.
23. Indus Webpro will not accept responsibility for any alterations caused by the Client or a third party occurring to the Client's pages/website once installed/deployed. Such alterations include, but are not limited to additions, modifications, or deletions. Indus Webpro may require a one-off Web Development charge before resolving any issues that may arise.
Re-work, Enhancements/Add-ons and Billing
24. Any additional features not envisaged in the scope of work would be entertained through a Change Management process and be additionally billed. Scope after wireframe sign off would be billed as additional and timelines and cost for delivery would increase.
25. Whilst we try our best to cover most changes within the budget of the site, some changes are classified as enhancements/add-ons to the system and become chargeable; we will advise you before we start work of any such items.
26. Any re-work, change, or tweak request by the client post-approval and/or further to the subsequent stage of the project process might be treated as add-on work and be additionally billed.
27. The client must pay the fee charged by Indus Webpro without any deductions, discounts or debt settlement by the agreed due dates.
Limitations of Liability
28. Indus Webpro will use reasonable skill and care in providing the Service. However, we make no representation and exclude any warranty, express or implied, as to the availability, quality, accuracy, timeliness, completeness, performance or fitness of the Service.
29. Indus Webpro hereby excludes itself, its Employees, and/or Agents from: all and any liability for loss or damage caused by any inaccuracy; omission; delay or error, whether the result of negligence or other cause in the production of the website; All and any liability for loss or damage to clients' artwork/photos, data/content supplied for the site. This is whether the loss or damage results from negligence or otherwise.
30. We shall not be liable in any way for any damages arising in contract, tort or otherwise in respect of loss or damage arising out of or in connection with this Agreement or operation of the Service. In no event will we be liable for any direct, indirect or consequential damages in contract or tort, including loss of profit, loss or damage to property or relating to claims made by third parties.
31. Indus Webpro cannot make guarantees of service on behalf of third party organizations and will not be held liable for the failure in any service provided by third parties.
Approvals and Delivery
32. The project will involve various stages and the work for the next stage will only start after receiving the sign off on and relevant payments for the previous stage as agreed.
33. All code and material developed will be transferred post completion of the project and after sign-offs.
34. Indus Webpro holds the Right to publish and use the completed work and/or even the deployed final produce/website for references to other potential clients. In circumstances such is required to be withheld, the client shall notify Indus Webpro well in advance and request prior and proper approvals towards the same.
